OMAHA BEACH COMMUNITY INC. – NOTICE OF 2025 SPECIAL GENERAL MEETING
As required under Clause 7.3 of the OBC Constitution, notice is hereby given to Members of the Special General Meeting to be held at 10:30am on Sunday 19th October 2025 at the Omaha Golf Club (Community Centre).
Business to be conducted:
- A Special General Meeting to consider the adoption of a revised constitution for the Society. It is proposed that the constitution be updated to comply with the requirements of the Incorporated Societies Act 2022, which has replaced the earlier incorporated societies legislation. Certain other amendments to the constitution are also proposed to be made at the same time to improve operational efficiency.

For your information we have summarised details of the changes as follows:
The Act imposes a number of statutory requirements on all Incorporated Societies. These have been included in our draft constitution, and the major ones are as follows;
- The requirement to keep a register of current and past members.
- The requirement for all members to consent to being members. Payment of the annual subscription is classed as consent.
- The need for a disputes process.
- The requirement to keep an interest register for committee members, to flag or avoid conflicts of interest.
In addition, we have taken the opportunity to improve efficiency in a few areas, the key ones being;
- The current quorum for a members meeting is 50 members, in person (including proxies). We plan to reduce the quorum to 25 and continue to allow proxies within that number. This means that member meetings are less likely to be cancelled for lack of a quorum, but will continue to allow members to have a say via proxy if they wish
- We have streamlined the voting process at any members meeting to a simple show of hands, replacing voting cards.
